Terms and Conditions

1. Introduction

By accessing or using the Generate Zero platform, you agree to comply with and be bound by the following terms and conditions. Please read them carefully, as they govern your use of the platform and services provided by Generate Zero.

1.1 These terms and conditions (Terms) are entered into between Generate Zero Limited (Company Number 8717086) (we, us or our) and you, together the Parties and each a Party.

1.2 We provide a cloud-based, software as a service platform called Footprint, where users can track their businesses operational and financed emissions (Platform).

1.3 You are accessing the Platform as an authorised user of the account holder who is our client (Account Holder). If the Account Holder’s agreement with us is suspended or terminated for any reason, your access to the Platform will also be suspended or terminated.

2. Services Provided

Generate Zero offers tools and solutions for emissions measurement, reporting, and reduction. These services are subject to ongoing development and may change at any time to improve user experience or functionality. We do not guarantee uninterrupted or error-free use of the platform.

3. User Responsibilities

Users must:


• Provide accurate and up-to-date information for account registration and service use.
• When using the Platform, you must not do or attempt to do anything that is unlawful or inappropriate, including:
  
  (a) anything that would constitute a breach of an individual’s privacy (including uploading private or personal information without an individual's consent) or any other legal rights;
  
  (b) using the Platform to defame, harass, threaten, menace or offend any person, including using the Platform to send unsolicited electronic messages;
  
  (c) tampering with or modifying the Platform (including by transmitting viruses and using trojan horses);
  
  (d) using data mining, robots, screen scraping or similar data gathering and extraction tools on the Platform  ; or
  
  (e) facilitating or assisting a third party to do any of the above acts.

• Maintain the confidentiality of login details and immediately notify Generate Zero of any security breaches.

4. Data Ownership & Privacy

Generate Zero respects user privacy. By using the platform, you agree to our Privacy Policy regarding how your data is collected, stored, and processed. You retain ownership of any data you input into the system. However, you grant Generate Zero the right to use anonymized data for platform improvements, analytics, and research purposes.

5. Intellectual Property

All content, design, features, and code used within the platform are the intellectual property of Generate Zero. You may not reproduce, distribute, or modify any content without express written permission from Generate Zero.

We authorise you to use Our Intellectual Property solely for your business use. You must not exploit Our Intellectual Property for any other purpose, nor allow, aid or facilitate such use by any third party.

5.1 You must not, without our prior written consent:

(a) copy, in whole or in part, any of Our Intellectual Property;

(b) reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any of Our Intellectual Property to any third party; or

(c) breach any intellectual property rights connected with the Platform, including (without limitation) altering or modifying any of Our Intellectual Property, causing any of Our Intellectual Property to be framed or embedded in another website, or creating derivative works from any of Our Intellectual Property

6. Limitation of Liability

Generate Zero will not be held liable for:


• Any direct or indirect damages arising from the use or inability to use the platform.
• Errors or inaccuracies in data or reporting produced by the platform.
• Any financial loss or business interruption resulting from reliance on the platform’s output.

7. Third-Party Links & Services


The platform may include links to third-party websites or services that are not controlled by Generate Zero. We are not responsible for the content, privacy policies, or practices of any third-party services.

8. Modifications to the Terms


Generate Zero reserves the right to update these terms and conditions at any time. Changes will be effective immediately upon posting on the website. Users are encouraged to review the terms regularly.

9. Termination


Generate Zero may suspend or terminate your account at any time if we believe you have violated these terms. Upon termination, your right to access the platform will cease immediately.

9.1 Should we suspect that you are in breach of these Terms, we may suspend your access to the Platform while we investigate the suspected breach. Should we determine that you are in breach of these Terms, your access to the Platform will be terminated immediately.  

9.2 We may revoke your access to the Platform when your contract with Generate Zero has come to an end

10. Governing Law


These terms and conditions are governed by the laws of New Zealand. Any disputes arising under these terms will be resolved in the appropriate courts of New Zealand. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts operating in New Zealand and any courts entitled to hear appeals from those courts and waives any right to object to proceedings being brought in those courts.
